Terms of Service

By accessing our website (defoxai.com) or engaging Defox AI for any services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our site or services.

These Terms apply to all visitors, clients, and anyone who accesses or uses our services.

Defox AI provides custom software development, AI integration, mobile application development, web application development, UI/UX design, SaaS product development, and related consulting services.

The specific scope, deliverables, timeline, and pricing for any project are defined in a separate Statement of Work (SOW) or project proposal agreed upon in writing between Defox AI and the client. These Terms govern the overall relationship; the SOW governs the specifics of each engagement.

As a client, you agree to:

— Provide accurate, complete, and timely information required for project delivery

— Designate a primary point of contact who has authority to make decisions

— Review and provide feedback on deliverables within agreed timeframes

— Ensure you have the legal right to share any third-party materials, brand assets, or content provided to us

— Pay invoices in accordance with the agreed payment schedule

— Not request work that infringes intellectual property rights, violates applicable law, or promotes harmful content

Unless otherwise agreed in writing:

— Projects require a 50% deposit before work commences, with the remaining balance due upon delivery

— Invoices are due within 14 days of issue

— Late payments incur a 2% monthly interest charge on the outstanding balance

— Defox AI reserves the right to pause work on any project where payment is overdue by more than 7 days

— All prices are in USD unless otherwise stated. Clients are responsible for any applicable taxes in their jurisdiction.

Client ownership: Upon receipt of full payment, clients receive full ownership of the custom code, designs, and deliverables created specifically for their project, as outlined in the SOW.

Defox AI ownership: We retain ownership of all pre-existing tools, frameworks, libraries, internal components, proprietary methodologies, and know-how used during delivery. These are licensed to you for use within your project but are not transferred.

Portfolio rights: Unless explicitly requested otherwise in writing, Defox AI reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials.

Third-party components: Open-source software or third-party integrations included in your project are subject to their respective licences.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement ("Confidential Information"). This includes business strategies, technical specifications, source code, financial information, and client data.

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or as necessary to deliver the services (e.g. sharing with vetted sub-contractors bound by the same obligations).

This confidentiality obligation survives the termination of the engagement for a period of 3 years.

Each project includes a defined number of revision rounds as specified in the SOW. Requests that fall outside the agreed scope — including new features, significant design changes, or additional integrations — will be treated as change requests and quoted separately.

Defox AI will provide a written estimate for all out-of-scope requests before proceeding. Clients must approve any additional costs in writing before work begins.

Defox AI warrants that services will be performed with professional skill and care, and that deliverables will materially conform to the agreed specifications.

We provide a 30-day bug-fix warranty following project delivery, covering defects in our work that prevent the product from functioning as specified. This does not cover issues arising from client modifications, third-party service changes, or use outside the intended scope.

To the maximum extent permitted by law, Defox AI makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

To the fullest extent permitted by applicable law, Defox AI's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you to Defox AI in the three months preceding the claim.

In no event shall Defox AI be liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — even if advised of the possibility of such damages.

Either party may terminate a project engagement with 14 days written notice. Upon termination:

— Client shall pay for all work completed up to the termination date, calculated on a pro-rata basis

— Defox AI will deliver all completed work and project files to the client

— Any deposit paid is non-refundable unless Defox AI is in material breach of the SOW

— Confidentiality and IP obligations survive termination

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Defox AI is registered. Any disputes arising from these Terms or our services shall first be subject to good-faith negotiation. If unresolved, disputes shall be referred to binding arbitration before being escalated to formal legal proceedings.

We reserve the right to update these Terms at any time. Material changes will be communicated to active clients via email. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. The date at the top of this page indicates when the Terms were last revised.
